1. Provider, scope and language

  1. “Bexongo” is provided by Bexongo Technologies, a sole proprietorship owned by Sadi Mammadli, Teutonenstraße 19, 51149 Cologne, Germany (“Bexongo”, “we”).
  2. These terms apply to businesses posting transport drives (“drives”) through the website, customer portal or Bexongo app. Separate terms apply to driver accounts and transport businesses.
  3. The German version prevails.

2. Business users only; authority

The service is exclusively for businesses within section 14 BGB. By registering, you confirm that you act in your trade, business or profession and may bind the named business. Consumers may not register. A false declaration permits immediate suspension or termination and makes the user liable for loss culpably caused by it, without limiting mandatory rights.

3. Account, team and security

You provide accurate, current details. The account owner may invite Owners, Dispatchers and Viewers; their acts are attributed to the account. A Viewer cannot post, cancel, rate or message. Credentials must be protected and suspected misuse reported immediately.

4. Bexongo's role and the transport contract

Bexongo provides a technical B2B marketplace. The customer describes and prices a drive; an eligible driver account may claim it. The transport contract is solely between the customer and the business represented by that driver account. That business invoices the customer and the parties settle payment directly outside Bexongo. Bexongo is not a party, carrier, freight forwarder, representative or payment service provider for the drive price and gives no performance guarantee. Document review is a plausibility and completeness review, not an official, legal or insurance verification.

5. Driver accounts, vehicles and documents

A driver account can claim only when its business is recorded, required documents have the necessary system status, a suitable approved vehicle exists and the required subscription for that driver account is active. The customer receives the details needed to perform the drive.

6. Posting, claiming and performance

The customer must accurately describe the route, cargo, size, weight, vehicle class, time windows, special requirements and price. A claim assigns the drive and notifies both parties. Status and proof of delivery may be recorded. An unclaimed drive may be cancelled immediately. After a claim, cancellation becomes a request or dispute and assignment continues until Bexongo decides or the parties agree. A driver may release only before starting and must give a reason; the drive is reposted. After start, a problem must be reported. Unclaimed drives expire at the customer's selected expiry time. Contractual cancellation claims exist only between the transport-contract parties. Optional in-drive location sharing shows a last reported position and age, not guaranteed real-time tracking or arrival time.

7. Prohibited cargo and customer duties

Prohibited cargo includes unlawful or stolen goods, weapons, ammunition, explosives, illegal drugs, people, unauthorised dangerous goods, waste or controlled substances, cash and negotiable securities, and goods whose carriage, import or export breaches sanctions, embargoes or permit rules. Animals, temperature-controlled goods, medicines and other specially regulated cargo may be posted only where the platform expressly supports the category and every required approval exists. The customer is responsible for safe packaging, correct measurements, accessible sites and required documents and permits.

8. Ratings, communications and disputes

Ratings must be factual and drive-specific. Unlawful, abusive or threatening messages may be reported and restricted. Bexongo records complaints, preserves platform evidence and may mediate or decide the drive's technical status, but does not finally determine civil claims. The performing business remains responsible under contract and law for carriage, permits and adequate insurance; claims are generally brought directly against it.

9. Fees

Customer accounts and drive postings are free. Bexongo charges no commission or fee on the drive price. A future customer fee requires a separate agreement and cannot apply retrospectively.

10. Suspension and termination

An account may be deleted after open drives are completed or properly ended. Bexongo may restrict, suspend or terminate for illegality, material breach, false details, security risk or concrete suspected misuse. Unless immediate action is needed to protect users, data or the platform, Bexongo gives reasons and a reasonable chance to respond and remedy. Access needed to end or resolve open drives safely remains available, or Bexongo handles them administratively.

11. Availability and rights

No specific service level is promised. Planned maintenance is announced where practicable; urgent security work may be immediate. Bexongo may develop the service while preserving its agreed core. Platform software, marks and content remain protected; the user receives a simple, non-transferable right for the contract term. Unauthorised scraping, reverse engineering and credential sharing are prohibited.

12. Liability and indemnity

Bexongo has unlimited liability for intent, gross negligence, death, personal injury, mandatory product liability and express guarantees. For slight negligence affecting an essential contractual duty, liability is limited to foreseeable, typical loss; other slight-negligence liability is excluded. Bexongo is not liable for carriage, cargo damage, delay or payment duties between the transport parties unless it caused the loss under the preceding rules. The customer indemnifies Bexongo against justified third-party claims caused by the customer's culpable breach, unlawful cargo or false information, except to the extent Bexongo contributed.

13. Changes

Material changes are announced by email or in-account at least 30 days before taking effect. The user may object and terminate before then. Urgent mandatory-law or serious-security changes may apply sooner with reasons. A version requiring consent must be accepted before continued use.

14. Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Cologne is the exclusive venue for merchants, public-law entities and public-law special funds. Legal notices go to info@bexongo.com or https://bexongo.com/contact. Invalidity of one provision does not affect the rest.
